Last March 19, Villaraza & Angangco (V&A Law) joined forces with PwC Philippines to hold a seminar on mergers and acquisitions with the title, “Accelerating Growth through M&A: Leveraging M&A Opportunities,” at V&A Law Center’s Rainmaker’s Lounge.
Hosted by V&A senior associate, Carlos Augustine G. Roman, the seminar started off with an opening remarks speech from V&A Managing Partner, Atty. Sylvette Y. Tankiang.
V&A Partners Kristin Charisse C. Siao and Mandy Therese M. Anderson were among the esteemed speakers of this seminar. Atty. Kristin gave a presentation on the legal considerations in M&A and one of the highlights during her presentation was the segment featuring pre-recorded videos from International M&A Counsels, Shearman & Sterling’s Li Chen and Slaughter and May’s David Griffith-Jones, who shared advice and insights based on their experiences with dealmaking in the Philippines.
Atty. Mandy, on the other hand, delivered a presentation on Hot Tax Topics, where she discussed tax indemnity in M&A transactions and emphasized the importance of early risk assessment in the prevention of potential dealbreakers.
A panel discussion co-moderated by Atty. Carlos and PwC Philippines Deals and Finance Corporate Partner, Trissy Rogacion followed the speakers’ presentations. The panel was composed of key individuals from varying sectors. Among the panelists were PwC Philippines’ Ms. Mary Jade Roxas T. Divinagracia, Manila Water Company, Inc. 's Atty. Amabelle Asuncion, Aboitiz Equity Ventures’ Atty. Connie G. Chu, JG Summit Holding Inc.’s Mr. Bach Johann Sebastian, and Navegar’s Mr. Juan Carlos “Ayo” Camara.
